President's Message
Kevin Kruse, JD, CAE

We recently had the opportunity to drop off more than 1,000 books as we concluded our 2016 ISAE book drive. I would like to say thank you to all who donated books. I was excited to see the level of participation in an event that will help children develop their reading skills. I’m sure that the ISAE board will look at another community assistance project that we can participate in next fall.

As we ended the year, I think that it is important to take time to “Sharpen the Saw”. Stephen Covey, in his book, “The 7 Habits of Highly Effective People” highlights this as one of the key habits.

ISAE members give 1107 books to United Way

What started out as “what can ISAE do to give back” type of comment culminated in over 1000 books being donated to United Way of Central Iowa.

The books, aimed at children aged K-5 will be distributed to lower income groups or organizations working with disadvantage children. The books are destined to be part of the “Read to Succeed” program which is designed to prepare students not just to improve their reading skills, but to read to learn.

According to studies, by age 5, a typical middle-income child recognizes 22 letters of the alphabet, compared to 9 letters for a child from a low-income family. The same study revealed a typical middle-income child has 13 books, but the ratio for low-income children is 1 book for every 300 children, almost guaranteeing these low-income children are going to quickly fall behind other children.

Reading proficiently by the end of third grade is the most important predictor of high school graduation and career success. Nationwide, 67% of all children and more than 80% of low-income children do not read proficiently by the end of third grade. In Iowa, approximately 7,500 students fall behind in third grading reading each year. According to one national study, students who are behind in reading by the third grade are four times more likely not to graduate high school.

ISAE members who generously donated to the ISAE book drive can be assured their gift will make a difference here in Iowa. ISAE President Kevin Kruse and ISAE Assistant Director Justin Scott dropped off so many books they had to loaded into two SUVs. As one United Way worker told Kruse and Scott, “You should see the face of a child light up when they are given a book of their very own, something they have never had before.”

You are encouraged to contact your attorney with questions on how this may affect you or check the ASAE website for more information.

ISAE President Kevin Kruse, with Diversified Management Services and ISAE Assistant Executive Director Justin Scott (back row) culminated the ISAE book drive by delivering 1107 books to the United Way of Central Iowa.

On hand to accept the books (L-R) were Dave Stone, United Way Advocacy Officer, Elizabeth Buck, Chief Community Impact Officer and Dr. Helene Grossman, Community Services Director.

In just three months, numerous ISAE members generously donated these gently used books with the hope of making a difference in the lives of hundreds of Iowa children.

Liability of Directors, Indemnification, and D&O Coverage
By: Bill Boyd, Nyemaster Goode, P.C., Des Moines, IA

Previous articles have covered fiduciary duties of members of a nonprofit organization’s board of directors. These duties require directors to take affirmative steps in the governance of the organization. A question arises with regard to the potential liabilities of a director for failure to meet the fiduciary duties as well as any protections that may be available.

A director can be subject to liability for failure to carry out fiduciary duties. The Revised Iowa Nonprofit Corporation Act (“Revised Act”) sets forth elements that need to be proven by a party challenging a director’s conduct....  Read More...
