President's Message
Kevin Kruse, JD, CAE

We recently kicked off our 2016-17 ISAE Leadership class with 11 participants. Wes Ehrecke and I had the privilege of leading the first session and we focused on Leadership and Governance. There are five remaining sessions that will be presented to help them obtain a through understanding of the details involved in working in the non-profit arena.

Regarding leadership, I recently read an interesting quote from Steven Covey on how he defined it. He stated, “Leadership is communicating to people their worth and potential so clearly that they are inspired to see it within themselves.” He added that you may be able to “purchase” a person’s attention through a paycheck, position, power or fear but their genius, passion, loyalty, and creativity is volunteered.

Overtime Rule Update

The final overtime rule, announced by DOL in May, raises the threshold for employees who are exempt from overtime pay to $47,476 – more than double the current salary threshold of $23,660. ASAE does not oppose an adjustment to the current overtime threshold, but is concerned that the new rule as written would adversely affect many nonprofit organizations and other employers with limited revenues, and could harm many affected employees as well.

You are encouraged to contact your attorney with questions on how this may affect you or check the ASAE website for more information.

Conflict of Interest Policies

By: Bill Boyd, Nyemaster Goode, P.C., Des Moines, IA

In previous articles, directors’ fiduciary duties were discussed. One of those duties, the duty of loyalty, requires that each member of the board of directors act in the interest of the organization and not in the director’s own interest or the interest of another person or entity. The duty of loyalty applies to conflict of interest transactions.

These types of transactions can arise in a variety of situations. For example, a board member may own a business that can provide a good or service to the organization.
