President's Message
Kevin Kruse

Volunteer and Participate

I would like to thank you for the opportunity to lead ISAE this next year. I would like to acknowledge Heather Tamminga, the board and staff for their hard work this past year. I would also like to thank Bruce Anderson, Mark Gavin and Deb Grooms for agreeing to serve as ISAE committee chairs this year. I believe the ISAE Board and staff have made great strides in assisting our members and their staff in becoming better leaders.

As the board continues to implement our strategic plan, I think that one of the key accomplishments that we implemented this past year was the creation of the YAP– Young Association Professionals group. At one of our recent DMS staff meetings, we discussed Millennials or Generation Y employees and there were two interesting statistics offered by XYZ University.
• 75% of Gen Y employees want mentors.
• Only 23% of associations have a plan in place to engage Gen Y employees.

One of our goals this year will be to continue to work with the YAP group so that we can provide mentorship and networking opportunities to them. We can also learn how to engage Millennials in their jobs and discover what they value.

In an effort to offer networking and educational opportunities throughout the past few years, ISAE has offered quarterly membership meetings with educational offerings, monthly roundtable discussions, monthly CAE meetings, the newly formed Young Association Professionals group and different social activities, including our annual golf outing. Additionally, we have alternated offering our CEO Symposium and our Leadership Class with our next leadership session starting this fall.

I would like to encourage everyone to continue to participate in our educational and networking opportunities and also try some new offerings. It is through learning and sharing that we continue to grow and we can use this knowledge to better serve our own association’s members.

Directors’ Fiduciary Duties – Duty of Care

By:Bill Boyd, Nyemaster Goode, P.C., Des Moines, IA

The Revised Iowa Nonprofit Corporation Act recognizes two types of fiduciary duties of directors of nonprofit corporations: The duty of care and the duty of loyalty. This article focuses on the duty of care. A follow-up article will focus on the duty of loyalty.

The duty of care includes two main functions – decision-making and oversight. In terms of decision-making, which is usually in the form of voting on a matter, each director needs to have sufficient information to be able to make an “informed” vote.

The oversight function relates to the board’s responsibility for monitoring the operations of the organization. This means, among other things, that a director should have a general knowledge of the nonprofit corporation’s operations and be aware of what the financial records disclose and take appropriate actions to make sure there are proper internal controls, including compliance programs. A director also should make reasonable inquiry in appropriate circumstances such as when there is troubling or unclear activity. In addition, a director, upon becoming aware of warnings or reports of officer or employee theft or mismanagement, should ensure that a proper investigation is made and action taken.Read More...
